Palmabook Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the Palmabook website located at palmabook.com, any subdomains, mobile-enabled pages, APIs, communications, and related services (collectively, the “Platform”), operated by Palmabook Holdings Inc., a Delaware corporation, together with its affiliates, subsidiaries, and operational partners“Palmabook,” “we,” “us,” or “our”).

Palmabook operates a travel and hospitality marketplace that facilitates the discovery and booking of vacation rental accommodations and related travel services. Palmabook may contract with property owners, managers, operators, or other accommodation providers (“Hosts”) and may offer accommodations to travelers (“Guests”) at retail prices determined by Palmabook, including through markups applied to Host net rates.

By accessing or using the Platform, creating an account, listing a property, making or accepting a booking, or otherwise interacting with Palmabook, you agree to be bound by these Terms and by any additional policies incorporated by reference, including our Privacy Policy, Cancellation and Refund Policy, Host Standards, payment terms, and any supplemental terms presented to you for particular services.

If you do not agree to these Terms, you may not access or use the Platform.


1. Acceptance of Terms & Eligibility

1.1 Binding Agreement

These Terms constitute a legally binding agreement between you and Palmabook. If you use the Platform on behalf of a company, entity, or other organization, you represent and warrant that you have authority to bind that organization, and “you” will include both you and that organization.

1.2 Eligibility Requirements

You may use the Platform only if you:

  1. are at least 18 years of age;
  2. have the legal capacity and authority to enter into a binding contract;
  3. are not prohibited from using the Platform under applicable law;
  4. are not located in, organized in, or ordinarily resident in a jurisdiction subject to comprehensive sanctions or restrictions that would make use of the Platform unlawful; and
  5. can provide accurate, current, and complete information as requested by Palmabook or its payment and identity verification providers.

1.3 Additional Conditions for Hosts

If you register or act as a Host, you further represent and warrant that:

  1. you have all rights, licenses, permits, registrations, consents, and authority necessary to offer the accommodation;
  2. your listing and operations comply with all applicable laws, regulations, zoning rules, tax rules, short-term rental restrictions, HOA or condo rules, and contractual obligations;
  3. you are the legal owner of the property or are duly authorized by the legal owner or manager to offer it through Palmabook; and
  4. you may be required to complete identity verification, business verification, and payment onboarding, including through Stripe Connect or other third-party providers.

1.4 Compliance with Law

You are solely responsible for complying with all laws applicable to your use of the Platform, including consumer, landlord-tenant, tourism, anti-discrimination, privacy, export control, sanctions, anti-money laundering, and tax laws.


2. Definitions

For purposes of these Terms:

2.1 “Account”

means the registered user account created to access or use certain features of the Platform.

2.2 “Booking”

means a confirmed reservation for an accommodation or related service made through the Platform.

2.3 “Guest”

means any individual or entity that searches for, books, pays for, or stays at an accommodation offered through the Platform, including any additional guests, invitees, or occupants associated with that reservation.

2.4 “Host”

means any property owner, manager, lessor, operator, representative, or other accommodation provider that offers, authorizes, or fulfills accommodations through the Platform.

2.5 “Listing”

means a property, accommodation, room, villa, apartment, house, or other lodging inventory, together with related descriptions, pricing, photographs, amenities, availability, rules, and other content displayed on the Platform.

2.6 “Palmabook Content”

means all content, trademarks, software, interfaces, design elements, text, images, graphics, logos, databases, compilations, and other materials provided by Palmabook or on its behalf, excluding User Content.

2.7 “User Content”

means any information, data, text, reviews, ratings, images, videos, communications, listing details, feedback, or other content submitted, posted, uploaded, transmitted, or otherwise made available by a user through or in connection with the Platform.

2.8 “Service Fees”

Palmabook does not charge guests a service fee or reservation fee. In this Agreement, “Service Fees” refers only to amounts, if any, separately agreed with hosts for optional paid tools or promoted-listing features, where applicable, and to payment processing charges passed through at cost by our payment providers.

2.9 “Applicable Law”

means all applicable laws, regulations, ordinances, codes, rules, regulatory guidance, court orders, sanctions programs, and industry obligations in any relevant jurisdiction.


3. Account Registration & Security

3.1 Account Creation

To access certain features of the Platform, you must create an Account and provide accurate, current, and complete information. You agree to keep your Account information updated at all times.

3.2 Verification Methods

Palmabook may require or permit verification through one or more methods, including:

  1. email verification;
  2. password authentication;
  3. WhatsApp one-time password (OTP) delivered through third-party verification providers such as Twilio Verify;
  4. passkeys / FIDO2 authentication;
  5. phone verification;
  6. government ID verification;
  7. biometric or liveness checks where legally permitted and administered by approved vendors; and
  8. payment or payout account verification through Stripe Connect or similar providers.

Completion of verification does not constitute an endorsement, certification, guarantee, or warranty by Palmabook regarding any user’s identity, trustworthiness, legality, ownership, or conduct.

3.3 Account Security

You are responsible for:

  1. maintaining the confidentiality of your login credentials and authentication methods;
  2. restricting access to your devices and Account;
  3. all activities conducted through your Account, whether authorized by you or not, unless prohibited by law; and
  4. promptly notifying Palmabook at partners@palmabook.com of any suspected unauthorized access, fraud, credential compromise, or security incident.

3.4 Accuracy of Information

You may not create an Account using false identity information, impersonate another person or entity, or misrepresent your affiliation with any individual or business.

3.5 One Account Per User

Palmabook may limit users to one Account unless we expressly authorize multiple Accounts for legitimate business or operational purposes.

3.6 Screening and Risk Review

Palmabook reserves the right, to the extent permitted by law, to conduct fraud screening, sanctions screening, chargeback risk assessment, identity verification, business verification, and other compliance reviews. We may suspend transactions or access pending completion of such reviews.


4. Booking Process & Formation of Contract

4.1 Marketplace Role

Palmabook provides a marketplace and booking facilitation service. Depending on the structure of a specific transaction, Palmabook may act:

  1. as a marketplace intermediary connecting Guests with Hosts;
  2. as merchant of record or booking merchant for payment collection and customer-facing pricing;
  3. as a contracting reseller or inventory distributor based on Host net pricing arrangements; or
  4. through local operating affiliates or service providers.

The contractual structure applicable to a booking may depend on the property, jurisdiction, payment method, and Host arrangement.

4.2 Booking Request and Confirmation

A Booking is not confirmed until Palmabook issues a written booking confirmation by email, in-app notice, or another durable medium. Availability displayed on the Platform is not guaranteed until confirmation is issued.

4.3 Right to Reject or Cancel Before Confirmation

Palmabook may refuse, decline, or cancel a booking request prior to confirmation for reasons including pricing error, availability error, suspected fraud, sanctions concerns, KYC issues, legal restrictions, technical malfunction, or inability to fulfill the reservation.

4.4 Formation of Contract

Upon confirmation:

  1. the Guest enters into a binding obligation to pay the total price and comply with all booking conditions; and
  2. the applicable accommodation contract is formed as set forth in the booking confirmation, listing terms, and these Terms.

Depending on the booking structure, the accommodation contract may be:

  • directly between Guest and Host;
  • between Guest and Palmabook acting in a resale, merchant, or distribution capacity; or
  • a hybrid structure where Palmabook facilitates the booking and payment while the Host remains responsible for accommodation performance.

4.5 Listing Information

Palmabook strives for accuracy but does not guarantee that any Listing will always be complete, accurate, current, or error-free. Property descriptions, amenities, distances, photos, availability, Wi-Fi quality, accessibility features, neighborhood conditions, and local conditions may vary from expectations or change over time.

4.6 House Rules and Supplemental Terms

Bookings may be subject to additional terms, including house rules, occupancy limits, security deposit requirements, check-in requirements, quiet hours, pet restrictions, age restrictions, and local registration obligations. By completing a Booking, the Guest agrees to comply with all disclosed rules and lawful conditions.


5. Payments, Fees & Markup Disclosure

5.1 Pricing Structure

Palmabook does not operate solely on a traditional post-stay commission model. Palmabook may acquire or secure accommodation inventory from Hosts at a net rate and offer that inventory to Guests at a retail rate determined by Palmabook. The retail price may include a markup above the Host’s net price, and such markup may vary by Listing, season, demand, channel, risk profile, support level, currency, and commercial strategy.

5.2 Markup Disclosure

By using the Platform:

  1. Guests acknowledge that the price displayed to them may exceed the Host’s net price and that Palmabook may retain the difference as part of its compensation; and
  2. Hosts acknowledge that Palmabook may independently determine the final guest-facing retail price unless otherwise agreed in writing.

Palmabook is not required to disclose Host net rates, internal margins, or pricing formulas unless required by Applicable Law.

5.3 Total Price and Taxes

Before checkout, Guests will be shown the total amount payable, which may include:

  1. nightly or stay charges;
  2. cleaning or service charges;
  3. payment processing amounts;
  4. occupancy, tourism, VAT, sales, lodging, or similar taxes where applicable;
  5. security deposits, damage holds, or preauthorizations where applicable; and
  6. other disclosed fees or adjustments.

Some taxes may be estimated and later adjusted where permitted by law.

5.4 Payment Authorization

By providing a payment method, you authorize Palmabook and its payment service providers, including Stripe, to:

  1. charge your payment method for all amounts due;
  2. place holds, reserves, or preauthorizations where applicable;
  3. use updated card information supplied by your bank or network;
  4. charge partial, installment, or delayed amounts where clearly disclosed;
  5. process refunds, reversals, and adjustments; and
  6. conduct fraud and identity verification.

5.5 Currency

Prices may be displayed and charged in different currencies. Exchange rates may be set by Palmabook, payment processors, card networks, or your bank. Palmabook is not responsible for foreign exchange fluctuations, bank fees, or card issuer surcharges.

5.6 Host Payouts

Where Hosts are paid through Palmabook or its payment providers:

  1. payout timing is subject to booking terms, risk review, fraud controls, reserve requirements, banking delays, and provider rules;
  2. Palmabook may pay Hosts in advance, before check-in or before stay completion, under commercial arrangements determined by Palmabook;
  3. Palmabook may offset amounts owed by the Host to Palmabook against future payouts;
  4. Palmabook may withhold or reverse payouts in cases of fraud, chargebacks, legal claims, sanctions concerns, duplicate payments, pricing error, overpayment, breach, or suspected unlawful activity; and
  5. Hosts are responsible for maintaining accurate payout information and completing all KYC, KYB, tax, and compliance requirements.

5.7 Chargebacks and Payment Disputes

If you initiate a chargeback or payment dispute without valid legal basis, Palmabook may recover the disputed amount, associated fees, collection costs, and any resulting losses from you to the fullest extent permitted by law.

5.8 Collection Rights

If amounts you owe are unpaid, Palmabook may engage collection agencies, lawyers, payment processors, or other recovery partners and may pursue lawful remedies.


6. Host Responsibilities & Listing Standards

6.1 Accurate Listings

Hosts must ensure that all Listings are accurate, lawful, and not misleading, including with respect to:

  1. property type and location;
  2. ownership or authorization status;
  3. occupancy limits;
  4. amenities and services;
  5. pricing and mandatory charges;
  6. health and safety features;
  7. accessibility features;
  8. photos and descriptions; and
  9. local permit or registration numbers where required.

6.2 Availability and Fulfillment

Hosts must honor confirmed Bookings and provide the accommodation as booked, except where cancellation is permitted under Palmabook policies or required by safety, legal, or force majeure reasons.

6.3 Safety and Habitability

Hosts are solely responsible for ensuring that accommodations are safe, habitable, clean, and compliant with Applicable Law, including fire safety, structural safety, sanitation, electrical safety, gas safety, pool safety, and emergency access requirements.

6.4 Legal Compliance

Hosts are solely responsible for:

  1. obtaining and maintaining all licenses, permits, registrations, and approvals;
  2. complying with short-term rental laws, tax laws, landlord-tenant laws, consumer laws, HOA or condominium restrictions, and zoning rules;
  3. collecting, remitting, and reporting taxes not collected by Palmabook; and
  4. ensuring that listing activity does not violate mortgage, lease, insurance, or contractual restrictions.

6.5 Insurance

Hosts are strongly encouraged, and in some cases may be required, to maintain adequate insurance, including property, liability, casualty, and guest-related coverage. Palmabook does not provide insurance coverage unless expressly stated in writing.

6.6 No Circumvention

Hosts may not solicit, encourage, or induce Guests to book outside the Platform, pay outside approved channels, or otherwise circumvent Palmabook’s commercial relationship where such conduct violates these Terms or applicable written agreements.

6.7 Host Cooperation

Hosts must cooperate with Palmabook in investigations, disputes, refund reviews, chargeback responses, guest safety matters, and regulatory inquiries.


7. Guest Responsibilities & Conduct

7.1 Accurate Information

Guests must provide truthful booking details, including guest count, purpose of stay where required, and any special requests relevant to the reservation.

7.2 Compliance with Rules

Guests must comply with:

  1. all applicable laws;
  2. all house rules and booking conditions;
  3. occupancy limits;
  4. check-in and check-out procedures;
  5. payment obligations; and
  6. lawful instructions from Hosts or Palmabook relating to the stay.

7.3 Respectful Conduct

Guests must treat accommodations, neighbors, community members, Hosts, and staff with care and respect. Guests are responsible for the conduct of all invitees, minors, additional guests, visitors, and pets associated with their booking.

7.4 Damage and Losses

Guests are responsible for damage, excessive cleaning, missing items, smoking remediation, unauthorized occupancy, fines, penalties, and other losses caused by them or anyone they permit onto the property, subject to proof and applicable law.

7.5 No Parties or Illegal Activity

Unless expressly authorized in writing, Guests may not use accommodations for parties, events, commercial filming, unlawful gatherings, prostitution, drug activity, weapons storage, human trafficking, or any illegal or hazardous purpose.

7.6 Compliance with Destination Rules

Guests are responsible for understanding local travel requirements, visa rules, health requirements, safety conditions, and legal restrictions in the destination.


8. Cancellations & Refunds

8.1 Separate Policy Incorporated

Cancellations, refunds, credits, date changes, no-shows, overbooking remedies, and rebooking support are governed by Palmabook’s Cancellation and Refund Policy, as updated from time to time and incorporated into these Terms by reference.

8.2 Policy Hierarchy

In the event of conflict between these Terms and the specific cancellation terms displayed at checkout or in the booking confirmation, the booking-specific terms will control for that reservation, except to the extent prohibited by law.

8.3 Refund Limitations

Refund eligibility may depend on timing, cause of cancellation, payment status, documentation, rebooking efforts, host obligations, and whether the issue was reported promptly. Refunds may be made to the original payment method, as travel credit, or by another lawful method.

8.4 Chargebacks Not a Substitute

Initiating a chargeback does not replace the obligation to follow Palmabook’s cancellation and claims process.


9. Prohibited Activities

You may not, and may not assist or permit others to:

  1. violate any law, regulation, or third-party right;
  2. use the Platform for fraudulent, deceptive, or misleading purposes;
  3. provide false identity, property, payment, tax, or booking information;
  4. scrape, crawl, harvest, index, frame, mirror, or copy the Platform or Listing data without our prior written consent;
  5. use bots, automation, or other unauthorized means to access, monitor, or interact with the Platform;
  6. circumvent technical protections, rate limits, or access controls;
  7. interfere with or disrupt the Platform, servers, or networks;
  8. upload malware, viruses, or harmful code;
  9. reverse engineer, decompile, or attempt to extract source code except where prohibited from restriction by law;
  10. circumvent fees, payments, taxes, booking channels, or commercial rules;
  11. discriminate unlawfully against any person;
  12. infringe intellectual property, privacy, publicity, or contractual rights;
  13. use the Platform in connection with sanctions evasion, money laundering, terrorist financing, or other prohibited financial activity;
  14. create multiple Accounts to evade enforcement;
  15. manipulate reviews, ratings, search results, pricing, or booking metrics;
  16. offer or book fake Listings or non-existent accommodations;
  17. collect or use personal data from the Platform without lawful basis; or
  18. use the Platform in any manner that could expose Palmabook, its users, or service providers to security, regulatory, legal, or reputational risk.

Palmabook may investigate suspected violations and take any action permitted by law, including suspension, cancellation, reporting to authorities, withholding of funds, and legal action.


10. Intellectual Property

10.1 Ownership

The Platform and all Palmabook Content are owned by Palmabook or its licensors and are protected by copyright, trademark, trade secret, database, and other intellectual property laws.

10.2 Limited License

Subject to your compliance with these Terms, Palmabook grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform for its intended personal or internal business purposes.

10.3 Restrictions

You may not use Palmabook’s name, logo, branding, domain names, page layouts, software, or proprietary content except as expressly permitted in writing.

10.4 Trademark Notice

“Palmabook” and related marks, logos, and service names are trademarks or unregistered marks of Palmabook or its affiliates. Nothing in these Terms grants any right to use them without prior written permission.


11. User Content & Feedback License

11.1 Ownership of User Content

As between you and Palmabook, you retain ownership of User Content you lawfully submit, subject to the rights granted in these Terms.

11.2 License to Palmabook

By submitting or making available User Content, you grant Palmabook a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, fully paid, transferable, sublicensable license to host, store, reproduce, modify, adapt, translate, publish, distribute, publicly display, publicly perform, communicate, make available, create derivative works from, and otherwise use that User Content in any media and by any means now known or later developed, for purposes including:

  1. operating and improving the Platform;
  2. customer support and dispute handling;
  3. fraud prevention and safety;
  4. compliance and legal obligations;
  5. marketing, promotion, merchandising, and advertising; and
  6. training, analytics, quality assurance, and product development,

subject in all cases to our Privacy Policy and Applicable Law.

11.3 Feedback

If you provide suggestions, ideas, reviews, comments, or other feedback regarding the Platform or services, you grant Palmabook the unrestricted right to use such feedback without notice, attribution, compensation, or further consent.

11.4 User Content Representations

You represent and warrant that:

  1. you own or control all rights necessary to submit the User Content;
  2. the User Content is accurate to the best of your knowledge;
  3. the User Content does not infringe or violate any third-party right or Applicable Law; and
  4. the User Content is not defamatory, obscene, fraudulent, or misleading.

11.5 Content Moderation

Palmabook may, but is not obligated to, monitor, review, remove, restrict, or edit User Content at any time and for any reason.


12. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Palmabook, its parent, subsidiaries, affiliates, officers, directors, employees, contractors, agents, service providers, payment processors, and licensors from and against any and all claims, demands, actions, investigations, proceedings, liabilities, damages, judgments, settlements, losses, fines, penalties, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

  1. your breach of these Terms or any incorporated policy;
  2. your use of the Platform;
  3. your Listing, Booking, stay, accommodation operations, property condition, or conduct;
  4. your User Content;
  5. your violation of Applicable Law or third-party rights;
  6. injury, death, property damage, tax liability, regulatory action, or consumer claim arising from your acts or omissions; or
  7. any dispute between you and another user.

Palmabook reserves the right to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate fully.


13. Limitation of Liability

13.1 Maximum Liability

To the fullest extent permitted by Applicable Law, Palmabook’s aggregate liability arising out of or relating to these Terms, the Platform, any Booking, or any claim between you and Palmabook will not exceed the greater of:

  1. the total amounts paid by you to Palmabook in connection with the specific Booking or transaction giving rise to the claim during the twelve (12) months preceding the event giving rise to liability; or
  2. US$100.

13.2 Excluded Damages

To the fullest extent permitted by law, Palmabook will not be liable for any:

  1. indirect, incidental, consequential, special, exemplary, or punitive damages;
  2. loss of profits, revenue, business, opportunity, goodwill, data, or reputation;
  3. personal injury, death, emotional distress, or property damage arising out of accommodations, travel, acts of users, or third parties;
  4. interruption, delay, inability to use the Platform, or security incident;
  5. inaccuracies in Listings or third-party content; or
  6. acts, omissions, errors, breaches, negligence, or misconduct of Hosts, Guests, property managers, payment providers, telecom providers, or other third parties.

13.3 Allocation of Risk

You acknowledge that Palmabook has set its prices and entered into these Terms in reliance on the disclaimers and limitations of liability stated herein, which form an essential basis of the bargain.

13.4 Non-Excludable Rights

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Applicable Law, including certain consumer rights, fraud, willful misconduct, or statutory liabilities where non-waivable.


14. Disclaimers

14.1 Platform Provided “AS IS”

To the fullest extent permitted by law, the Platform and all content and services are provided “as is,” “as available,” and “with all faults.”

14.2 No Warranty

Palmabook disclaims all warranties, express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, and any warranties arising from course of dealing or usage of trade.

14.3 No Guarantee of Availability or Suitability

Palmabook does not warrant that:

  1. the Platform will be uninterrupted, secure, or error-free;
  2. Listings or accommodations will meet your expectations or legal requirements;
  3. travel will be safe, lawful, or advisable;
  4. defects will be corrected; or
  5. verification procedures will detect all fraud or misconduct.

14.4 Third-Party Services

The Platform may rely on third-party services, including Stripe, Twilio, analytics providers, mapping tools, and identity verification vendors. Palmabook is not responsible for third-party systems, outages, policies, or acts beyond our reasonable control.


15. Dispute Resolution: Arbitration

15.1 Agreement to Arbitrate

Please read this section carefully. It affects your legal rights.

Except for matters that may be brought in small claims court, claims relating to intellectual property or unauthorized access, or requests for injunctive relief, you and Palmabook agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, any Booking, any accommodation, payments, advertising, representations, privacy, or the relationship between you and Palmabook (“Dispute”) shall be resolved by binding individual arbitration.

15.2 Informal Resolution First

Before initiating arbitration, the claimant must send a written notice of dispute describing the claim, requested relief, and supporting facts to partners@palmabook.com and, if mailed, to Palmabook’s notice address in Section 21. The parties agree to attempt good-faith informal resolution for 30 days before filing arbitration.

15.3 Arbitration Rules and Administrator

The arbitration shall be administered by the American Arbitration Association (AAA) under its applicable Consumer Arbitration Rules or Commercial Arbitration Rules, as applicable, as modified by these Terms.

15.4 Seat and Venue

The legal seat of arbitration shall be Wilmington, Delaware, USA, unless the parties agree otherwise or mandatory law requires a different forum. Hearings may be conducted remotely where permitted by AAA rules.

15.5 Arbitrator Authority

The arbitrator, and not any court or agency, shall have exclusive authority to resolve any Dispute, including questions of arbitrability, scope, enforceability, formation, and validity of this arbitration agreement, except that a court of competent jurisdiction may determine issues relating to the enforceability of the class action waiver below to the extent required by law.

15.6 Class Action Waiver

To the fullest extent permitted by law, you and Palmabook agree that each may bring claims against the other only in an individual capacity and not as a plaintiff, claimant, class representative, or class member in any purported class, collective, coordinated, consolidated, mass, or representative proceeding.

Unless both parties agree otherwise, the arbitrator may not consolidate more than one person’s claims and may not preside over any representative or class proceeding.

15.7 Jury Trial Waiver

To the fullest extent permitted by law, you and Palmabook knowingly and irrevocably waive any right to trial by jury for any Dispute.

15.8 Arbitration Costs

Payment of filing, administrative, and arbitrator fees shall be governed by AAA rules and Applicable Law. Each party shall bear its own attorneys’ fees unless the arbitrator awards fees under contract, statute, or applicable rule.

15.9 Opt-Out Right

You may opt out of this arbitration agreement by sending written notice to partners@palmabook.com within 30 days after first accepting these Terms. Your opt-out notice must include your full legal name, email address associated with your Account, country of residence, and a clear statement that you opt out of arbitration. Opting out of arbitration will not affect any other part of these Terms.

15.10 Exceptions

Nothing in this Section prevents either party from:

  1. bringing an individual action in small claims court if eligible;
  2. seeking injunctive or equitable relief for misuse of intellectual property, confidential information, or unauthorized access;
  3. reporting issues to governmental authorities; or
  4. pursuing remedies where arbitration is prohibited by law.

15.11 Survival

This Section survives termination of these Terms and your use of the Platform.


16. Governing Law

16.1 Delaware Law

These Terms and any Dispute not subject to arbitration shall be governed by the laws of the State of Delaware, USA, without regard to conflict of laws principles.

16.2 Mandatory Consumer Protections

Nothing in these Terms deprives consumers of the benefit of mandatory protections under the laws of their country, state, province, or habitual residence where such protections are non-waivable.

16.3 Local Mandatory Law

Where Applicable Law in a jurisdiction imposes mandatory rights, disclosures, refund obligations, cancellation rights, privacy rights, or dispute resolution rules, those mandatory provisions will apply to the extent required.


17. Changes to Terms

17.1 Right to Modify

Palmabook may modify these Terms from time to time to reflect changes in the law, the Platform, our business model, payment flows, risk controls, or commercial practices.

17.2 Notice of Material Changes

For material changes, Palmabook will provide at least 30 days’ prior notice by posting the updated Terms on the Platform, sending an email, or using another reasonable method.

17.3 Non-Material Changes

Non-material changes may become effective upon posting or as otherwise indicated.

17.4 Continued Use

If you continue to use the Platform after the effective date of updated Terms, you agree to the revised Terms. If you do not agree, you must stop using the Platform and, where applicable, close your Account.


18. Termination

18.1 Termination by You

You may stop using the Platform at any time. You may request Account closure, subject to completion of pending Bookings, payment obligations, legal retention requirements, fraud prevention needs, and other rights of Palmabook under Applicable Law.

18.2 Termination or Suspension by Palmabook

Palmabook may suspend, restrict, deactivate, or terminate your access to the Platform, Account, Listings, bookings, or payouts immediately, with or without notice, if:

  1. you breach these Terms or any policy;
  2. we suspect fraud, chargeback abuse, illegal activity, sanctions risk, or security risk;
  3. required verification is incomplete or fails;
  4. your conduct creates risk or potential liability for Palmabook, users, or third parties;
  5. required by law, court order, regulator, payment provider, insurer, or business partner; or
  6. we discontinue the Platform or a service in whole or in part.

18.3 Effect of Termination

Termination does not affect:

  1. accrued rights or obligations;
  2. pending payments, refunds, chargebacks, investigations, or disputes;
  3. rights to retain records as required by law;
  4. licenses already granted under these Terms; or
  5. provisions intended to survive, including Sections relating to payments, intellectual property, indemnification, limitation of liability, arbitration, governing law, and miscellaneous terms.

19. Force Majeure

Palmabook will not be liable for any delay, interruption, failure, cancellation, or inability to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, hurricanes, earthquakes, floods, fires, epidemics, pandemics, public health events, war, terrorism, civil unrest, embargoes, sanctions, labor disputes, utility failures, internet or telecom outages, cyberattacks, governmental actions, border closures, travel restrictions, payment network failures, supplier failures, or property unavailability caused by such events.

Nothing in this Section limits any non-waivable rights under Applicable Law or any refund rights expressly stated in the applicable cancellation policy.


20. Severability, Entire Agreement, Assignment

20.1 Severability

If any provision of these Terms is held unlawful, invalid, or unenforceable, that provision shall be enforced to the maximum extent permitted and the remaining provisions shall remain in full force and effect.

20.2 Entire Agreement

These Terms, together with all policies and booking-specific terms incorporated by reference, constitute the entire agreement between you and Palmabook regarding the subject matter hereof and supersede prior oral or written understandings relating to that subject matter.

20.3 No Waiver

Palmabook’s failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

20.4 Assignment by You

You may not assign, transfer, delegate, or sublicense any rights or obligations under these Terms without Palmabook’s prior written consent.

20.5 Assignment by Palmabook

Palmabook may assign, transfer, delegate, or subcontract these Terms or any rights or obligations under them, in whole or in part, to any affiliate, successor, acquirer, financing source, or as part of a merger, acquisition, reorganization, asset sale, or by operation of law.

20.6 Relationship of the Parties

Except as expressly stated, nothing in these Terms creates any agency, partnership, joint venture, employment, fiduciary, or franchise relationship between you and Palmabook.

20.7 Electronic Communications

You consent to receive communications electronically, including legal notices, disclosures, booking updates, and transactional messages. You are responsible for maintaining accurate contact information.
