PALMABOOK HOST AGREEMENT

This Host Agreement (the "Agreement") is entered into by and between Palmabook Holdings Inc., a Delaware corporation, together with its applicable affiliates, subsidiaries, and local operating entities, including, where applicable, Palmabook Holdings, Inc. in Mexico upon formation (collectively, "Palmabook," "we," "us," or "our"), and the individual or legal entity that registers, lists, offers, or provides accommodations or related services on or through palmabook.com and associated applications, channels, and services ("Host," "you," or "your").
This Agreement governs your onboarding, listing, pricing, payment, compliance, and use of Palmabook’s marketplace platform for short-term and vacation rental accommodations and related hospitality services.
By creating a host account, completing onboarding, connecting a Stripe Connect account, listing a property, accepting a booking, or otherwise using Palmabook as a host, you agree to be legally bound by this Agreement.
1. Parties and Effective Date
1.1 Contracting Parties
This Agreement is between:
- Palmabook Holdings Inc., a Delaware C-Corporation, and/or its relevant affiliate operating the Platform in the applicable jurisdiction; and
- The Host identified during account registration and onboarding, whether acting as:
- an individual owner;
- a property manager;
- a lessee with valid subletting rights;
- a company, trust, partnership, or other legal entity; or
- an authorized representative acting on behalf of a property owner or manager.
1.2 Effective Date
This Agreement becomes effective on the earlier of:
- the date you click to accept it;
- the date you submit onboarding information to Palmabook or Stripe Connect;
- the date your first listing is published; or
- the date you accept or fulfill your first booking through Palmabook.
1.3 Affiliate Contracting Structure
Palmabook may perform services through one or more affiliates for operational, compliance, tax, payment, KYC, customer support, or local law purposes. References to Palmabook include such affiliates where the context requires.
2. Definitions
For purposes of this Agreement:
2.1 Key Terms
- "Accommodation" means the real property, unit, room, villa, home, apartment, or other lodging offered by Host.
- "Booking" means a reservation confirmed through the Platform for an Accommodation.
- "Guest" means a traveler or user who books or stays at an Accommodation.
- "Host Content" means all text, titles, descriptions, photographs, videos, floorplans, pricing, rules, policies, licenses, permits, and other materials submitted by Host.
- "Host Net Price" means the amount set or agreed by Host as the base accommodation amount payable to Host for a Booking, exclusive of any Palmabook markup, unless otherwise expressly stated.
- "Markup" means the amount added by Palmabook to the Host Net Price for presentation to and collection from the Guest.
- "Platform" means palmabook.com, related mobile experiences, APIs, domains, integrations, communication tools, and associated services.
- "Payout" means the amount remitted by Palmabook to Host for a Booking, generally equal to the Host Net Price less any applicable deductions authorized under this Agreement or required by law.
- "Stripe Connect Account" means the connected payments account established through Stripe Connect Express or another approved payout solution designated by Palmabook.
- "Applicable Law" means all laws, regulations, ordinances, codes, rules, judgments, sanctions, tax requirements, licensing rules, and governmental orders applicable to the Host, Accommodation, Booking, or services.
- "Local Taxes" means occupancy, lodging, tourism, hotel, sales, use, VAT, GST, IVA, indirect taxes, and similar taxes applicable to the Accommodation or Booking.
- "Sanctions Laws" means economic or trade sanctions laws administered by OFAC, the U.S. Department of State, the United Nations, the European Union, the United Kingdom, Canada, or other relevant authorities.
3. Host Onboarding and Verification
3.1 General Requirement
Before a listing may go live or any payout may be released, Host must complete Palmabook’s onboarding and verification process and maintain accurate information at all times.
3.2 Identity Verification
Host shall complete identity verification through Stripe Connect Express or another provider designated by Palmabook, which may include:
- government-issued photo identification;
- date of birth;
- legal name;
- residential or business address;
- selfie, liveness, or biometric matching where legally permitted;
- phone and email verification; and
- such enhanced due diligence as may be required by AML, KYC, fraud prevention, or sanctions screening laws.
3.3 Entity Verification
If Host is a company or other legal entity, Host must provide, upon request:
- certificate of formation/incorporation or equivalent;
- beneficial ownership information;
- authorized signatory evidence;
- business address;
- tax identification number; and
- any information required by Stripe, banking partners, or regulators.
3.4 Property Rights and Authorization
Host must provide documentary evidence reasonably satisfactory to Palmabook showing the legal right to list and rent the Accommodation, including as applicable:
- deed, title, tax bill, or utility bill confirming ownership;
- lease expressly permitting short-term rental or subletting;
- written authorization from landlord, property manager, or owner;
- HOA, condominium, co-op, or building approval where required;
- local short-term rental registration or license; and
- any tourism, hotel, municipal, or zoning permit required by Applicable Law.
3.5 Tax Documentation
Host shall provide valid tax information before payouts are enabled, including as applicable:
- U.S. persons: Form W-9;
- non-U.S. persons: applicable Form W-8 series;
- Mexico-based hosts: RFC and any required constancia de situación fiscal or equivalent;
- Canada-based hosts: SIN, BN, or tax forms as required;
- any VAT, GST, IVA, or local tax registration number, if applicable.
3.6 Payout Account
Host must connect and maintain a valid payout method through Stripe Connect or another method approved by Palmabook. Host shall provide:
- bank account details in Host’s legal name or duly authorized business name;
- local currency account where available and preferred;
- updated information promptly upon any change.
Palmabook may suspend listings or withhold payouts if payout information is incomplete, inconsistent, or fails verification.
3.7 Ongoing Verification
Palmabook may require re-verification at any time, including after changes to ownership, payout destination, tax status, suspicious activity, abnormal cancellation patterns, or legal/regulatory developments.
4. Listing Obligations
4.1 Accuracy of Listings
Host must ensure that each listing is complete, truthful, and not misleading. Host shall accurately describe:
- location;
- type and size of property;
- occupancy limits;
- amenities and services;
- access limitations;
- safety features;
- house rules;
- fees and deposits, if any;
- known defects or limitations;
- any shared spaces, construction, noise, or neighborhood conditions reasonably material to a Guest’s decision.
4.2 Photos and Media
All photographs, videos, and other media must fairly represent the current condition of the Accommodation. Palmabook may require updated media if content is outdated, inaccurate, low quality, or misleading.
4.3 Legal Right to Rent
Host represents and warrants that Host has the legal right to offer the Accommodation for short-term rental and that doing so does not violate:
- lease terms;
- HOA or condominium rules;
- mortgage restrictions;
- zoning laws;
- licensing rules;
- tourism regulations; or
- any court order or governmental restriction.
4.4 Health and Safety Compliance
Host shall maintain the Accommodation in a safe, clean, habitable, and lawful condition and comply with all health and safety requirements under Applicable Law, including, where required:
- smoke detectors;
- carbon monoxide detectors;
- fire extinguishers;
- marked exits or evacuation guidance;
- electrical, gas, and plumbing safety;
- pool, balcony, and stair protections;
- sanitation and pest control;
- emergency contact information.
4.5 Calendar Accuracy and Availability
Host must maintain an accurate calendar and promptly block unavailable dates. Palmabook strongly encourages synchronization via iCal or approved channel manager integration to reduce double-bookings and availability errors.
4.6 Response Times
Host must respond to:
- guest messages within 24 hours; and
- booking requests or reservation issues within 24 hours.
Repeated delays may result in lower listing visibility, account review, temporary suspension, or termination.
4.7 Local Check-in Operations
Host is responsible for providing accurate check-in instructions, local contact support where reasonably necessary, and a reliable process for access, key handoff, codes, or concierge coordination.
4.8 Non-Discrimination
Host shall not discriminate unlawfully on the basis of race, color, ethnicity, national origin, religion, sex, gender, gender identity, sexual orientation, familial status, disability, age, or any other protected characteristic under Applicable Law. Hosts must comply with all applicable fair housing, public accommodation, equality, and anti-discrimination laws.
5. Pricing and Payout Model
5.1 Host Net Pricing
Host sets or agrees with Palmabook on the Host Net Price for each Accommodation and Booking period.
5.2 Palmabook Markup Model
Palmabook operates on a markup model, not a traditional host commission model. Palmabook may apply a markup typically ranging from 100% to 140% above the Host Net Price, or such other markup as Palmabook determines in its commercial discretion.
5.3 No Classic Host Commission
Palmabook does not charge a classic percentage commission deducted from Host Net Price, except as expressly stated in this Agreement for penalties, legal withholding, Stripe-related charges assigned to Host, or other authorized deductions.
5.4 Guest-Facing Price
Palmabook determines the final guest-facing retail price, promotional pricing, merchandising, and marketplace positioning, provided that Host’s confirmed payout basis remains the Host Net Price unless otherwise agreed in writing.
5.5 Prepaid Host Payout Model
A core feature of Palmabook’s model is that, subject to fraud review, payment verification, sanctions screening, and compliance checks, Palmabook generally pays the Host in advance of the stay, rather than post-checkout.
5.6 Standard Payout Timing
Unless otherwise required by law, delayed for review, or subject to reserves/holds, Host payout is initiated approximately 24 hours after booking is confirmed and prepaid by Palmabook.
5.7 Minimum Payout Threshold
Palmabook may hold payouts until the accrued unpaid balance reaches at least USD $50 or equivalent in local currency.

5.9 Delays and Holds
Palmabook may delay, split, hold, reverse, or offset payouts in cases involving:
- suspected fraud;
- chargebacks or payment reversals;
- sanctions or AML review;
- missing KYC/KYB data;
- tax withholding requirements;
- guest claims;
- host cancellation penalties;
- legal process or court order;
- reserve requirements;
- force majeure or banking disruption.
5.10 Setoff Rights
Palmabook may set off amounts owed by Host to Palmabook, Guests, payment processors, or governmental authorities against current or future payouts.
6. Taxes
6.1 Host Tax Responsibility
Host is solely responsible for determining, collecting, remitting, reporting, and paying all taxes arising from Host’s rental activity, income, and business operations, including:
- income tax;
- lodging or occupancy tax;
- VAT, GST, or IVA;
- tourism taxes;
- municipal or state taxes;
- social contributions or similar charges.
6.2 Information Reporting
Where legally required, Palmabook may issue tax statements or information returns, including without limitation:
- Form 1099-K or other U.S. information returns for eligible U.S. Hosts;
- Canadian T4A or analogous reporting;
- Mexican constancia, CFDI support, withholding support, or analogous local documentation;
- other reports required by tax authorities.
6.3 Thresholds and Legal Changes
Reporting thresholds may change by law. Palmabook will apply the threshold legally in force at the relevant time, which may differ by jurisdiction.
6.4 Withholding
Palmabook may deduct or withhold taxes where required by law, including for example:
- Mexico ISR withholding for certain non-resident or platform-reportable arrangements;
- U.S. backup withholding;
- U.S. 30% withholding where required due to missing or invalid Form W-8 or other tax documentation;
- VAT/IVA withholding obligations;
- any local digital platform withholding regime.
6.5 Cooperation
Host agrees to provide timely, complete, and accurate tax forms and supporting information. Palmabook is not responsible for Host’s tax advice or tax compliance.
7. Host Fees and Charges
7.1 Palmabook-Side Fee Structure
Palmabook’s business model is based primarily on markup rather than host commission.
7.2 Stripe Connect and Payment Charges
Payment processing costs charged directly to the Host’s connected account by Stripe or another provider, or charges attributable specifically to Host’s payout method, failed payout, currency conversion, or account maintenance, may be passed through to Host where legally permitted and contractually applicable.

8. Host Cancellation Penalties
8.1 Host Obligation to Honor Bookings
Once a Booking is confirmed, Host must honor it except where cancellation is required by safety, illegality, force majeure, Guest breach, or other grounds approved by Palmabook.
8.2 Standard Cancellation Penalties
If Host cancels a Booking without an approved exempt reason, Host authorizes Palmabook to assess the following penalties:
- More than 14 days before check-in: USD $50
- 7 to 14 days before check-in: USD $100
- Less than 7 days before check-in, or during an active stay: USD $500
8.3 Rebooking Cost Differential
If Palmabook rebooks the Guest in a reasonably equivalent or comparable accommodation at a higher cost, Host shall be responsible for the cost differential, and Palmabook may deduct or invoice such amount.
8.4 Repeated Cancellations
If Host incurs more than 3 host-caused cancellations within any rolling 12-month period, Palmabook may:
- review the account;
- lower listing visibility;
- require additional availability controls;
- impose reserves or restrictions; and/or
- suspend or terminate the account.
8.5 Exempt Cancellations
Palmabook may waive penalties in whole or in part where cancellation is due to:
- verified property damage making the unit uninhabitable;
- urgent safety hazards;
- legal prohibition;
- force majeure;
- guest misconduct or fraud; or
- another reason accepted by Palmabook in its reasonable discretion.
9. Guest Damage and Security Deposits
9.1 Damage Claims Process
Palmabook may coordinate claims for property damage, missing items, extraordinary cleaning, or rule violations.
9.2 Optional Security Deposit Hold
Palmabook may offer an optional security deposit hold processed through Stripe or another payment provider of up to USD $5,000 per booking, subject to payment network rules and legal limitations.
9.3 Claim Deadline
Host must submit any damage claim no later than 14 days after checkout or before the next guest checks in, whichever occurs first, unless Palmabook agrees otherwise.
9.4 Evidence
Host must provide adequate supporting evidence, which may include:
- photos or videos;
- invoices, receipts, or repair estimates;
- inventory records;
- police report where relevant;
- communications with Guest.
9.5 Decision and Binding Resolution
Palmabook will review available evidence and issue a determination, generally within 21 days after receipt of a complete claim file. To the maximum extent permitted by law, Palmabook’s determination regarding platform-facilitated damage claims and security deposit administration is binding for purposes of funds held or managed through the Platform.
9.6 No Insurance
Unless expressly stated in a separate written program, Palmabook is not an insurer and does not guarantee recovery of any damage amount.
10. Host Insurance
10.1 Recommendation
Palmabook strongly recommends that Host maintain adequate insurance covering short-term rental activity, including:
- property damage;
- commercial general liability;
- premises liability;
- guest injury;
- employer/worker coverage if staff are used;
- business interruption where available.
10.2 STR-Specific Coverage
Host is encouraged to obtain a short-term-rental-specific endorsement or rider and to confirm that any existing homeowners, landlord, condominium, or commercial policy does not exclude transient occupancy.
10.3 Future Programs
Palmabook may, in a future phase, offer or facilitate an AirCover-style protection or liability program up to USD $1,000,000, subject to separate terms, underwriting, exclusions, and availability. No such coverage exists unless expressly launched in writing.
11. Intellectual Property License
11.1 Host Ownership
As between Host and Palmabook, Host retains ownership of Host Content, subject to the license granted below.
11.2 License Grant
Host grants Palmabook a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, adapt, modify for formatting, translate, distribute, publish, publicly display, publicly perform, market, and otherwise use Host Content, property name, and associated branding solely or primarily for:
- operating the Platform;
- marketing listings and Palmabook services;
- customer support;
- fraud prevention and trust and safety;
- legal and compliance needs;
- search engine, social media, affiliate, and advertising distribution.
11.3 Duration
This license remains in effect while the listing is active and for 2 years thereafter for archival, legal, evidentiary, backup, customer service, and residual marketing wind-down purposes, subject to Palmabook’s legal obligations.
11.4 Host Authority
Host represents that it has all rights, permissions, and releases necessary to grant the foregoing license.
12. Representations and Warranties
Host represents, warrants, and covenants on a continuing basis that:
- Host has full power and authority to enter into and perform this Agreement;
- Host has the legal right to list, rent, and provide the Accommodation;
- the listing and Host Content are accurate, current, and not misleading;
- the Accommodation materially matches its description and photos;
- the Accommodation is safe, habitable, and compliant with Applicable Law;
- Host will not engage in unlawful discrimination;
- Host will provide accurate tax, identity, payout, and compliance information;
- Host is not subject to sanctions and is not acting on behalf of a sanctioned person;
- Host will comply with AML, anti-bribery, consumer protection, data protection, and applicable rental laws;
- Host will not use Palmabook to facilitate fraud, money laundering, unlawful occupancy, prostitution, human trafficking, narcotics activity, weapons trafficking, or other illegal conduct.
13. Indemnification
Host shall defend, indemnify, and hold harmless Palmabook, its affiliates, and their respective officers, directors, employees, contractors, and agents from and against any and all claims, demands, actions, damages, losses, liabilities, judgments, fines, penalties, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- Host’s breach of this Agreement;
- Host’s listings, Accommodation, or Host Content;
- death, personal injury, property damage, or other harm occurring at or relating to the Accommodation;
- Host’s violation of law, regulation, permit, HOA rule, lease, or third-party rights;
- Host’s taxes or failure to withhold, remit, or report taxes;
- Host cancellations, overbookings, relocation costs, or refund obligations;
- discriminatory or unlawful conduct by Host or Host’s staff, agents, or contractors.
Palmabook may assume exclusive defense and control of any matter subject to indemnification, and Host shall cooperate fully.
14. Term and Termination
14.1 Term
This Agreement continues until terminated by either party.
14.2 Termination for Convenience
Either party may terminate this Agreement for any reason upon 30 days’ written notice.
14.3 Immediate Termination
Palmabook may suspend or terminate immediately for material breach, including:
- fraud or misrepresentation;
- safety risk;
- illegal activity;
- repeated cancellations;
- sanctions match or AML concern;
- invalid tax or identity information;
- unauthorized payouts or account takeover risk;
- serious guest complaints;
- infringement or misuse of intellectual property.
14.4 Effect on Pending Bookings
Upon termination, Palmabook may in its discretion:
- allow pending bookings to be honored;
- cancel pending bookings;
- relocate guests;
- apply host cancellation penalties and offsets.
14.5 Survival
Sections relating to payment obligations, taxes, indemnification, intellectual property, disputes, governing law, non-solicitation, and any provisions that by nature should survive, shall survive termination.
15. Non-Solicitation and Off-Platform Circumvention
15.1 Restriction
Host shall not, directly or indirectly, solicit, divert, encourage, or induce any Guest first introduced through Palmabook to book, rebook, pay, communicate for payment, or transact outside the Platform in order to avoid Palmabook’s pricing model or platform protections.
15.2 Duration
This restriction applies during the term of this Agreement and for 12 months after the relevant Guest’s last booking inquiry, booking, stay, or interaction through Palmabook.
15.3 Liquidated Damages
Because actual damages from circumvention are difficult to calculate, Host agrees that a violation of this Section will result in liquidated damages equal to 3 times the booking value of the diverted or attempted diverted transaction, without prejudice to Palmabook’s right to seek injunctive relief or additional damages where permitted by law.
16. Dispute Resolution; Arbitration; Class Action Waiver
16.1 Informal Resolution
Before commencing arbitration, the parties agree to attempt to resolve any dispute informally by written notice and good-faith negotiation for at least 30 days, unless urgent injunctive relief is required.
16.2 Agreement to Arbitrate
Except for claims eligible for small claims court and claims for injunctive or equitable relief regarding intellectual property, confidentiality, fraud, account abuse, or unlawful circumvention, any dispute arising out of or relating to this Agreement or the Platform shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its applicable commercial or consumer rules, as determined by AAA.
16.3 Seat and Venue
The seat of arbitration shall be Delaware, USA, unless Palmabook elects remote/video arbitration or Applicable Law requires otherwise.
16.4 Class Action Waiver
To the maximum extent permitted by law, all disputes must be brought on an individual basis only and not as a plaintiff or class member in any purported class, collective, consolidated, representative, mass, or private attorney general proceeding.
16.5 Jury Trial Waiver
To the extent any dispute proceeds in court, each party waives any right to a jury trial.
16.6 Opt-Out
Host may opt out of this arbitration agreement by sending written notice to Palmabook within 30 days of first accepting this Agreement. The opt-out notice must include Host’s full legal name, account email, phone number, property/listing identification if any, and a clear statement opting out of arbitration. Opting out of arbitration does not opt out of the class action waiver where permitted by law.
17. Governing Law
This Agreement is governed by the laws of the State of Delaware, without regard to conflict of laws principles, except that:
- federal U.S. law governs where preemptive or directly applicable;
- mandatory laws of the jurisdiction where the Accommodation is located may apply to property, licensing, tax, health and safety, and local rental matters;
- mandatory consumer protection, privacy, and public policy laws may apply where legally non-waivable.
Nothing in this Agreement excludes rights that cannot be waived under Applicable Law.
18. Force Majeure
Palmabook shall not be liable for delay, failure, suspension, or interruption caused by events beyond its reasonable control, including natural disasters, hurricanes, pandemics, epidemics, war, terrorism, civil unrest, embargoes, sanctions changes, governmental action, labor disputes, internet or telecommunications failures, banking disruptions, payment processor outages, cyberattacks, or utility failures.
If a force majeure event materially affects a Booking or the Accommodation, Palmabook may suspend performance, delay payouts, cancel bookings, or implement emergency policies.
19. Compliance; AML; Sanctions; Anti-Bribery
19.1 Compliance Duty
Host shall comply with all Applicable Law, including laws relating to:
- anti-money laundering;
- counter-terrorist financing;
- sanctions;
- anti-bribery and anti-corruption;
- consumer protection;
- data protection and privacy;
- hospitality and tourism licensing.
19.2 Sanctions Screening
Host represents that neither Host nor, if applicable, any beneficial owner, director, or controlling person is:
- listed on any applicable sanctions list;
- located in or ordinarily resident in a comprehensively sanctioned territory to the extent prohibited by law; or
- acting for or on behalf of a sanctioned person.
19.3 Anti-Bribery
Host shall not offer, pay, promise, or authorize any bribe, kickback, or improper payment in connection with the Platform or any booking and shall comply with the U.S. Foreign Corrupt Practices Act (FCPA) and similar laws.
19.4 Investigations
Palmabook may investigate suspected misconduct and may request records, freeze payouts, remove listings, or report conduct to regulators or law enforcement where appropriate.
20. Modifications
20.1 Right to Modify
Palmabook may modify this Agreement from time to time.
20.2 Notice
For material changes, Palmabook will provide at least 30 days’ notice by email, platform notice, dashboard message, or other reasonable means, unless a shorter period is required for legal, regulatory, security, or fraud-prevention reasons.
20.3 Acceptance
Continued use of the Platform, maintenance of an active listing, or acceptance of bookings after the effective date of revised terms constitutes acceptance of the modified Agreement.
20.4 Objection
If Host does not agree to a modification, Host must stop using the Platform and may terminate this Agreement before the revised terms take effect, subject to fulfillment or resolution of pending bookings and amounts owed.
21. Additional Provisions
21.1 Independent Contractor
Host is an independent contracting party and not an employee, agent, joint venturer, franchisee, or partner of Palmabook, except to the limited extent Palmabook acts as payment settlement facilitator or limited collection agent where expressly stated.
21.2 No Guarantee
Palmabook does not guarantee occupancy, revenue, search ranking, booking volume, guest quality, legal compliance, or uninterrupted service.
21.3 Limited Collection Role
Where permitted by law, Host appoints Palmabook as Host’s limited payment collection agent solely for the purpose of collecting amounts from Guests and remitting Host payouts under this Agreement. Guest payment to Palmabook satisfies the Guest’s payment obligation to Host for the amount collected.
21.4 Electronic Communications
Host consents to receive notices, disclosures, tax forms, and communications electronically.
21.5 Entire Agreement
This Agreement constitutes the entire agreement between the parties regarding hosting on Palmabook, except for any separate written addendum, insurance program, DPA, or jurisdiction-specific supplement.
21.6 Severability
If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it enforceable where possible.
21.7 No Waiver
Failure to enforce any provision shall not constitute a waiver.
21.8 Assignment
Host may not assign this Agreement without Palmabook’s prior written consent. Palmabook may assign this Agreement to an affiliate or in connection with a merger, acquisition, financing, or sale of assets.
21.9 Language
The English version of this Agreement controls in the event of conflict with any translated version, to the extent permitted by law.
