Palmabook Terms of Use

Effective date: as of the date of your visit

These Terms of Use describe the legal framework that governs your access to and use of the Palmabook websites, mobile interfaces, and related services operated by Palmabook Holdings, Inc. (Delaware, USA). By visiting or using Palmabook, you agree to these Terms in full. If you do not agree, you must immediately discontinue all access and usage.

Palmabook is an online travel technology platform that allows hosts and guests to connect for vacation rentals across participating destinations. Palmabook Holdings, Inc. does not itself own or manage properties. It provides digital tooling, listing distribution, and payment infrastructure through integrated third-party providers and channels.


1. Acceptance of Terms

When you access or use any Palmabook website, mobile view, or integration (including embedded booking widgets, host panels, or partner dashboards), you acknowledge that you have read, understood, and agreed to these Terms of Use as a binding contract between you and Palmabook Holdings, Inc. (Delaware, USA).

Your acceptance is not dependent on formal registration. Casual browsing, account creation, listing publication, or data synchronization with partner systems all constitute consent. If you are acting on behalf of a business or property management entity, you represent that you have lawful authority to bind that business to these Terms.

If you disagree with any part of these Terms, you are not authorized to use or access Palmabook’s services. Continued use after updates or policy changes also constitutes acceptance of the current version in effect at the time of your visit.


2. Eligibility and Legal Capacity

Palmabook may only be used by individuals who are at least 18 years of age and possess the legal capacity to enter into binding contracts under applicable law. By accessing or registering, you represent and warrant that you satisfy these conditions and are not prohibited from receiving services under U.S. laws or other applicable jurisdictional rules.

Palmabook does not knowingly provide accounts or allow participation by minors. If we learn that someone under 18 or otherwise legally ineligible has registered, we may delete the account and any associated content without prior notice.

If you are an organization, you confirm that the individual completing registration has actual authority to accept these Terms on the organization's behalf. Palmabook assumes no responsibility for unauthorized account creation or unverified delegate actions.


3. Account Registration and Security

Some functionalities of Palmabook require creating a user account to post listings, manage reservations, review stays, or access host analytics.

When registering, you must provide accurate, complete, and up-to-date information. You agree to maintain the confidentiality of your login credentials and take full responsibility for all activities occurring under your account.

You must not:

  • Share login credentials with unauthorized persons.
  • Use another person’s account without explicit consent.
  • Circumvent authentication measures.
  • Register multiple accounts for abusive or misleading purposes.

If you detect any unauthorized access, you must promptly inform Palmabook at partners@palmabook.com. Palmabook reserves the right to suspend or close accounts that pose security risks or exhibit unusual activity.

Palmabook follows commercially reasonable technical practices to protect account information, including secure HTTPS transport, encrypted storage of sensitive elements, and reliance on third-party payment processors certified under PCI-DSS. However, you are ultimately responsible for safeguarding your credentials.


4. Acceptable Use and Prohibited Activities

Palmabook exists to facilitate genuine travel interactions and transparent information exchange. To maintain safety and integrity, users must adhere to the following acceptable use guidelines:

You must not:

  • Upload, transmit, or distribute any malware, automated scraping tools, or code designed to damage, intercept, or extract platform data.
  • Copy, harvest, or index site content or user data using robots, spiders, or similar automated means without prior written consent.
  • Post listings or messages that are false, misleading, or fraudulent.
  • Engage in harassment, spam, discrimination, or threatening behavior toward other users or Palmabook staff.
  • Circumvent rate controls, payment flow, or commission mechanisms.
  • Use Palmabook for marketing unrelated services, chain letters, or affiliate redirects outside of authorized AWIN campaigns.
  • Interfere with the proper functioning of servers, APIs, or integrated third-party systems (e.g., Stripe, PayPal, Airbnb, Booking.com, Vrbo, Expedia).
  • Use any trademark or copyrighted material without authorization.
  • Gather or disclose private user data (including emails or phone numbers) obtained through the platform for any external purpose.

Palmabook may suspend or terminate accounts engaged in these prohibited acts and may report violations to relevant authorities if required by law.


5. User-Generated Content and License to Palmabook

Palmabook allows registered users to submit descriptive text, photos, reviews, availability calendars, and messages (“User Content”).

You retain ownership of all intellectual property rights in your uploaded materials, subject to the non-exclusive license below. By submitting User Content, you grant Palmabook Holdings, Inc. a worldwide, royalty-free, sub-licensable, and transferable right to use, store, host, reproduce, publish, translate, publicly display, distribute, modify for technical optimization, and otherwise exploit that material for the operation, promotion, and improvement of the platform.

This license continues only for as long as your content remains available on the platform or backups as legally required. You can delete certain types of content at any time, but transactional records or listings tied to completed bookings may be retained to fulfill legal obligations or audit requirements.

You represent and warrant that:

  • You hold the necessary rights to submit your content.
  • Your content does not infringe intellectual property, privacy, or publicity rights of others.
  • The representation of property, images, reviews, and statements are truthful and not misleading.

Palmabook may review, screen, or remove any User Content that violates these Terms or applicable law, although the company is not obligated to pre-screen all content. Repeated or serious violations may result in account termination.


6. Intellectual Property of Palmabook

All intellectual property and proprietary materials appearing within the platform, including software, code, visual design, trademarks, text, logos, graphics, data structures, and other content created by Palmabook or its licensors, remain the exclusive property of Palmabook Holdings, Inc.

Nothing in these Terms grants you ownership, trademark rights, or any interest other than limited access for lawful personal or business use under these conditions. You may not copy, modify, distribute, transmit, display, reproduce, or create derivative works from Palmabook intellectual property without written consent.

You must not remove or alter any copyright, trademark, or proprietary notices, nor imply endorsement or partnership without authorization.

“Palmabook” and related logos are proprietary marks of Palmabook Holdings, Inc. All other brand names appearing within the site (such as Airbnb, Booking.com, Vrbo, Expedia, AWIN, Google, Stripe, or PayPal) are rights held by their respective owners and referenced solely for functional or descriptive purposes.


7. Privacy and Data Handling Reference

Palmabook collects and processes information consistent with its Privacy Policy, which explains categories of personal data, retention practices, and cookie usage. These Terms do not substitute that policy. For details, users should consult the Privacy Policy accessible through the website footer or consent banner.

Palmabook implements Google Analytics 4 (ID: G-6Z719PJGL3) and Google Ads (ID: AW-7996167009) integrated with Consent Mode v2 for analytics and marketing attribution. You may configure opt-in preferences during your visit.

Payment data passes securely through third-party processors (Stripe Connect and optional PayPal). Palmabook does not store credit card numbers or bank credentials on its own servers.

By continuing to use the service, you consent to the processing of data as described in the Privacy Policy and in accordance with applicable laws, including cross-border transfers necessary for service provision by Palmabook Holdings, Inc. (Delaware, USA).

8. Third-Party Services and Integrations

Palmabook integrates with several external tools to enable secure payments, analytics, affiliate marketing, and property distribution. These integrations include:

  • PayPal as an optional payment channel for guests where available.

  • Google Ads for advertising effectiveness analysis.

Each third-party provider operates under its own terms and privacy statements. Palmabook does not control external systems or content once the user transitions or data is transferred under an agreed processing arrangement. You acknowledge that use of third-party services may subject you to those third-party terms in addition to these Terms of Use.

Palmabook disclaims liability for downtime, errors, or losses originating from external services beyond its operational control, though it will act promptly to coordinate recovery or remediation where possible.


9. API and Automated Access

Palmabook may provide application programming interfaces (APIs) for authorized property managers or channel partners to automate inventory, pricing, and booking data. Access is conditional upon written approval and technical compliance with rate limits and authentication tokens provided by Palmabook Holdings, Inc.

Unapproved automated access, web scraping, reverse engineering, bulk data extraction, or any repeated automated requests that impair platform performance are strictly prohibited.

Any API credentials granted remain revocable at any time. If Palmabook detects abuse or noncompliance, it may disable access without prior notice. You agree to maintain confidentiality of provided API keys and promptly report any exposure or suspected misuse to partners@palmabook.com.


10. Service Availability and Performance

Palmabook aims to maintain stable service availability with reasonable technical and operational diligence. However, no uptime guarantee is provided. The platform may occasionally experience outages or maintenance windows due to software updates, data migrations, or third-party dependencies.

You acknowledge that:

  • Access may be temporarily limited for system upgrades or emergency maintenance.
  • Certain functionalities could be delayed or modified according to third-party network conditions.
  • Palmabook assumes no financial liability for consequential losses related to service interruptions, system errors, or data inconsistencies.

Despite best efforts, Palmabook does not warrant that the platform will be uninterrupted, error-free, secure, or fully compatible with every device or browser. Performance may vary depending on user environment, internet connection, and external integrations.


11. Modifications of Terms

Palmabook Holdings, Inc. may revise, supplement, or replace these Terms of Use at any time by posting an updated version on the website. Substantial updates may be announced via user dashboard notices or email communications.

Continued use after such modifications indicates acceptance of the revised Terms. If you disagree, your only recourse is to discontinue all access and close your account. The latest version available at the time of use always governs.

12. Termination and Account Closure

You may terminate your Palmabook account at any time by following the platform’s account deletion process or sending a request to partners@palmabook.com.

Palmabook may suspend or terminate accounts for cause, including but not limited to:

  • Material violation of these Terms or other platform policies.
  • Fraudulent activity or suspected misuse.
  • Infringement of intellectual property rights.
  • Persistent failure to comply with legal requirements or payment disputes.
  • Operational or security concerns requiring immediate restriction.

Upon termination, all associated licenses automatically end, and access to private dashboards or unpublished content may be revoked. Palmabook may retain limited records to the extent required by law, including financial audits or past transaction logs.

Termination does not relieve you of obligations that logically survive, such as indemnification, limitations of liability, and intellectual property provisions.


13. Governing Law

These Terms of Use are governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to conflict-of-law principles that would result in the application of another jurisdiction’s laws.

If any provision herein is found invalid or unenforceable by a competent court, the remaining provisions shall continue in full effect. Nothing in this section limits the protections afforded by mandatory consumer laws that cannot be waived under applicable jurisdiction.


14. Dispute Resolution

Palmabook aims to resolve all user concerns efficiently and fairly. In the event of a dispute, you agree to first attempt good-faith negotiation or mediation facilitated through email correspondence with partners@palmabook.com.

If the matter cannot be resolved within a reasonable time frame, either party may elect binding arbitration or pursue claims in competent courts located in Delaware, USA, consistent with applicable arbitration rules.

Participation in mediation does not waive any right to seek provisional remedies or judicial assistance where immediate action is necessary to prevent irreparable harm.

Users in jurisdictions where arbitration clauses require explicit opt-in may choose between arbitration and court proceedings. Palmabook encourages amicable resolution before commencing formal proceedings.


15. Liability Disclaimer and Indemnification

To the maximum extent permitted by applicable law, Palmabook Holdings, Inc. and its officers, affiliates, licensors, or agents shall not be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill resulting from your use or inability to use the platform.

Palmabook provides the service “as is” and “as available.” No warranty, whether express or implied, covers the adequacy, accuracy, or reliability of listings, communications, or integrations beyond reasonable technical care.

You agree to indemnify and hold harmless Palmabook Holdings, Inc. from all claims, damages, liabilities, costs, and expenses arising from (i) your use of Palmabook, (ii) violation of these Terms, or (iii) infringement of rights or property of third parties resulting from content you submit or actions you undertake through the platform.

The platform may display links to third-party sites or resources for convenience. Palmabook does not endorse or assume responsibility for any external content or services accessible through such links.


16. Severability

If any provision of these Terms is held by a competent authority to be invalid, illegal, or unenforceable, the remaining provisions will continue in full effect, ensuring the core intent of the agreement remains intact.

Where permissible, the invalid or unenforceable clause will be replaced by a valid provision that most closely reflects the original economic and legal purpose.


17. Entire Agreement

These Terms of Use constitute the entire understanding between you and Palmabook Holdings, Inc. regarding your access to and use of the platform, superseding any prior discussions or representations related to subject matter herein.

Other documents referenced dynamically on the site, such as the Privacy Policy, cookie notices, or booking-specific Terms of Service, complement but do not contradict these Terms. In any conflict between those supplementary policies and this document, the specific terms governing the relevant service shall prevail.

No oral representation or prior correspondence modifies these Terms unless formally issued by Palmabook Holdings, Inc.

You may not assign or transfer your rights or obligations under these Terms without Palmabook’s prior written consent. Palmabook may assign its rights or delegate its obligations under these Terms in connection with corporate restructuring, merger, asset sale, or other legitimate business reasons, provided such assignment does not materially affect your rights.


20. Survival of Obligations

The following provisions shall survive termination or expiration of these Terms: Intellectual Property, Indemnification, Limitation of Liability, Governing Law, Dispute Resolution, Severability, and Entire Agreement.

Your obligations regarding content ownership and compliance with applicable laws remain binding to the extent relating to actions that occurred while these Terms were in effect.


21. Interpretation

Headings are for convenience only and do not limit or alter substantive meaning. References to “Palmabook,” “we,” or “us” refer exclusively to Palmabook Holdings, Inc. (Delaware, USA). Use of the singular includes the plural and vice versa unless context dictates otherwise.

In case of ambiguity, these Terms should be interpreted fairly and not against the drafting party. All communications under these Terms shall be made in English.


22. Acknowledgment

By using Palmabook’s website or related services, you acknowledge that you have read, understood, and agreed to abide by these Terms of Use, as well as all referenced policies governing data, content, and acceptable participation.

Continued access signifies your consent and ongoing agreement to any modifications posted subsequently.
